Compliance & Ethics Manager

Main Purpose
The position of Compliance and Ethics Manager in Mexico will assist the C&E Sr Manager for Mexico in leading implementation of all aspects of PepsiCo’s Global Compliance and Ethics program across PMF. The Compliance and Ethics Manager will partner with the C&E Sr Manager and the PMF leadership team to build and maintain a strong C&E culture that supports the key LatAm principle of “Unshakeable Integrity” and reduces PepsiCo’s legal and reputational risks. The Compliance & Ethics Manager will share responsibility for the strategic direction for the Global Compliance & Ethics Program based on internal and external factors, such as market and cultural realities, internal risk assessments and regular analysis of Speak Up trends and other data. Key parts of the role include responsibility for (1) overseeing a large, complex Speak Up docket and ensuring proper investigation and remediation of all issues, particularly PSVs; (2) delivering ethics and ABAC training to key stakeholders and functions in PMF; (3) maintaining the effectiveness of the Third Party Due Diligence program across PMF; and (4) supporting a robust control environment, including participating in PMF’s Control Environment Council and providing C&E information required for each quarter close.

Main responsibilities

Decision

  • Assist C&E Sr Manager, MX, in implementing all aspects of PepsiCo’s Global Compliance and Ethics program across PMF. This will include supporting a robust C&E environment in PMF including the following elements: Leadership (commitment from senior management) and Oversight; Training and Communication; Standards and Controls; Risk Assessments; and Issue Reporting, Investigation and Response [impacts all of PMF]
  • Provide practical, effective anti-bribery and other Compliance training and communications to guide PMF’s leadership and its employees in making day-to-day decisions consistent with PepsiCo’s Values and its Code of Conduct, the law and all applicable PepsiCo policies. [impacts all of PMF]
  • Share responsibility for maintaining the Third Party Anti-bribery Due Diligence program that will involve 1,000+ vendors that interact with the government on PepsiCo’s behalf. This responsibility includes enrollment of new vendors, review of due diligence reports and partnering with Due Diligence Risk Committee to determine outcome [impacts region leadership team, Legal and Control functions]
  • Support all aspects of management of Speak Up hotline process and case docket (~750 reports annually), including personally investigating all PSVs, overseeing investigations and personally investigating significant routine matters, providing advice to investigators, reviewing all closing reports to ensure adequacy and thoroughness of investigations, and guaranteeing effective operation of Speak Up program.   • Identification and reporting of all PSVs and partnering with C&E Sr Manager, MX on all PSV investigations (which include issues related to government and commercial bribery, fraud and theft with a substantial financial impact, accounting irregularities, as well as legal, Code of Conduct and Values violations by PepsiCo executives.) [impacts Legal, Control, HR]
  • Track and audit all investigation and enforcement decisions resulting from substantiated PSV violations of the Code of Conduct within the Region to ensure that recommended discipline, remediation and other outcomes are implemented.
  • Ensure training and certification of investigators (HR generalists, Managers and Coordinators Corporate Security) by designing specialized courses in investigations and methodology of the Speak Up program and content development programs training (e-learning, e-classes and others).

Inform
  • Provide advice and coaching to other functions handling Speak Up investigations [impacts Corporate Security, HR, Control, Legal]
  • Participate in the Control Environment Council for PMF – such Council to consist of CFO, CHRO, GC and Controller; schedule and attend quarterly and other special meetings of the Council to discuss the Compliance Program and ensure the CEC’s quarterly review of PSVs.
  • Support Latin America’s Senior Director and Compliance & Ethics Officer, and other Compliance & Ethics personnel in different projects, tasks and matters as required.

Consult
  • Provide advice and coaching to other functions handling Speak Up investigations [impacts Corporate Security, HR, Control, Legal]
  • Acts a resource to other functions on non-Speak Up matters by evaluating or recommending the initiation of investigative procedures. [impacts Corporate Security, HR, Control, Legal]
Experience and profile

  • Minimum of 5 years of prior experience in Legal and/or Compliance & Ethics.
  • Licensed attorney strongly preferred
  • Must be fluent in written and spoken English
  • Must be able to travel within Mexico as needed, and internationally 1 – 2 times a year

  • The role will regularly expose the employee to confidential and/or sensitive financial, operational and employee information. It is therefore essential that the employee understands and will respect their fiduciary duty to treat this information as private & confidential at all times.
  • Ability to clearly and effectively influence and communicate with senior executives and cross-functional colleagues including more senior ones within PepsiCo.
  • Strong communication skills and ability to speak in front of groups and provide training
  • Maturity and decisiveness, including the ability to frame issues to support quick decision making, as well as an understanding of business to know how and when to escalate issues.
  • Exude confidence, yet self-aware and open to feedback.
  • Model resilience and flexibility; adapts well to new circumstances and adversity.
  • Total team player who must oversee broad proactive agenda, while keeping daily, vigilant watch over specific issues.
  • Ability to work independently and juggle multiple urgent priorities at the same time
  • Highly analytical with strong organization skills
