Job Description

The Senior Legal Assistant, Corporate role will provide general corporate legal assistant support to the Office of the Corporate Secretary/Corporate Law Department, primarily responsible for assisting with all aspects of PepsiCo’s Board of Directors and annual shareholders meetings, corporate governance matters and certain Securities and Exchange Commission (SEC) filings and providing support with respect to administrative matters.

This individual will be responsible for the following:

  • Assisting with all aspects of PepsiCo’s Board of Directors and annual shareholders meetings, including drafting and reviewing materials for the Board and its Committees (such as minutes, consents and resolutions), assembling and managing materials for the meetings and assisting with meeting logistics
  • Assisting in preparing certain SEC filings, including Section 16 filings (Forms 3, 4 and 5) for directors and executive officers and the annual proxy statement, and obtaining and managing SEC filing codes
  • Assisting with corporate governance matters, including performing legal and peer company research, drafting company documents (such as certificates, charters and policies), preparing and administering questionnaires to directors and officers, and organizing and maintaining books and records
  • Assisting attorneys and other legal assistants with respect to compliance, due diligence and transactional matters and various departmental projects on an as-needed basis
  • Collaborating closely with a broad range of departments and functions, including Compensation and Benefits, Control, Tax and auditors, and interfacing with the General Counsel and the Offices of the CEO and CFO

Qualifications/Requirements

  • Bachelor’s degree, paralegal certificate or commensurate experience
  • Highly organized, pro-active, with strong proofreading skills and attention to detail and accuracy
  • Strong research skills
  • Proficient with Microsoft Word, Power Point and Excel
  • Familiarity with Diligent (a board portal) is strongly preferred
  • Experience interacting with C-suite executives
  • Ability to communicate effectively
  • Team player with a positive attitude who has strong interpersonal skills and enjoys working cross-functionally and flexibly in a fast-paced and dynamic environment
  • Effective time management skills and ability to meet deadlines, including ability to work under pressure
  • Ability to work overtime on occasion as needed
  • High degree of integrity and confidentiality
  • Eager to learn new skills and expand knowledge of subject areas
  • Familiarity with Workiva and RR Donnelly/Bowne Section 16 filing software a plus
  • Experience as a legal assistant supporting Board of Directors meeting planning, handling corporate governance matters and/or preparing SEC filings a plus
